This document (together with all documents referred to herein) sets out the terms and conditions governing the use of this website – www.zenyth.com (hereinafter the “Website”).

The purpose of the Website is to present and sell online Zenyth-branded premium health products (food supplements, natural products, specialist books in this field, etc.), as well as to allow registration for specialized courses in these fields – marketed by ZENYTH PHARMACEUTICALS SRL through the online store www.zenyth.com.

NOTE: The information provided on this website serves educational and informational purposes only. Under no circumstances does the information on this website replace or exclude medical consultation. The website is not intended for diagnosis. For medical problems, please consult your attending physician.

By accessing and using the Website, you expressly acknowledge the binding nature of these documents and undertake to fully comply with them.

  1. DESCRIPTION OF ACTIVITY

ZENYTH PHARMACEUTICALS SRL (hereinafter the “Company” or “We”) is registered with the Trade Register under no. J27/805/2007, having VAT number 21917821 and its registered office in Alexandru cel Bun, Petru Rareș Street no. 50A, Neamț County, Romania.

The Company specializes in the production of premium food supplements and dietetic products, focused on detoxification, weight management, and intestinal health support.

On the relevant market, ZENYTH PHARMACEUTICALS SRL positions itself as a top Romanian manufacturer in the food supplements sector, promoting safe, effective, and high-quality products, based on carefully researched and tested formulas.

The Company is also actively involved in education and information projects regarding a healthy lifestyle and balanced nutrition.

  1. DEFINITIONS

2.1 Seller – ZENYTH PHARMACEUTICALS SRL

2.2 Buyer/Client – any natural person over 16 years of age or legal entity that has or obtains access to the Content by any means of communication made available by ZENYTH PHARMACEUTICALS SRL (electronic, telephone, etc.) and that may request an offer and place an order (through an Account or directly, without creating a permanent account).

2.3 Visitor – any natural or legal person who is interested in the products offered by ZENYTH PHARMACEUTICALS SRL and who has access to the content of the Website.

2.4 Shopping cart (icon at the top right) – the section of the Website that allows the Client/Buyer/Visitor to add products offered by the Company which they wish to purchase at the time of adding them or at a later time;

2.5 My Account (icon at the top right) – the section of the Website consisting of an email address which allows the Client/Buyer to view the offers and products marketed by ZENYTH PHARMACEUTICALS SRL. The Client/Buyer is responsible for and will ensure that all information entered when creating the Account is correct, complete, and up to date.

2.6 Website – the online store hosted at the web address zenyth.com and all its related subdomains;

2.7 Order – an electronic document that acts as a means of communication between the Seller and the Client/Buyer/Visitor by which the Client/Buyer/Visitor transmits to the Seller, via the Website, their intention to purchase products offered by ZENYTH PHARMACEUTICALS SRL;

2.8 Products – any premium health product, etc. (natural food supplements, etc.) listed on the Website, including the products mentioned in the Order, which are to be supplied by the Seller to the Client/Buyer/Visitor.

2.9 Campaign – the action of commercially displaying a limited number of products with a limited and predefined stock, for a limited period of time established by the Seller.

2.10 Contract – the distance contract concluded between the Seller and the Client/Buyer, without the simultaneous physical presence of the Seller and the Client/Buyer.

2.11 Review – a personal evaluation from a Client/Buyer regarding a product offered by the Seller, written based on their experience with that product, in order to communicate whether the product meets or does not meet the specifications mentioned by the Seller.

2.12 Commercial communications/Newsletter – any type of message sent (email, phone, mobile push, web push, etc.) that contains general and thematic information, information regarding products similar or complementary to those purchased from the Website, information regarding offers or promotional prices, information regarding the products on the Website.

  1. GENERAL CONDITIONS

3.1. By registering an Order on the Website, the Client/Buyer agrees with the method of communication (telephone or email) through which the Seller carries out its commercial operations.

3.2. The images of the products displayed on the Website are for information purposes only. There may be differences in shade or appearance without affecting the quality or composition of the product. For more details about the characteristics of the products and other additional information, please read the details presented on the Website or contact us.

3.3. The sales prices of the products are displayed on the Website, are expressed in LEI (RON), and include VAT. The sales prices of the products may be changed without prior notice to Clients/Buyers. For any Order placed and confirmed, the Client/Buyer will always pay the prices existing on the Website at the time of placing the Order. Delivery costs are added separately.

3.4. The Contract is considered concluded between the Seller and the Client/Buyer when the Client/Buyer receives from the Seller, by email, the shipping confirmation of the Order.

3.5. The Seller may refuse to fulfill an Order or may unilaterally cancel it if the Order was placed by a person who has shown a hostile attitude likely to prejudice the Seller. In any of these cases, the Client/Buyer may contact the Seller to be informed about the reasons that led to such measures.

3.6. Ownership of the products is transferred upon delivery, after full payment of the Order.

3.7. The Seller reserves the right to refuse an Order in the event of suspected fraud, technical errors, or out-of-stock situations, informing the Client accordingly.

3.8. All information on the Website www.zenyth.com is the intellectual property of ZENYTH PHARMACEUTICALS SRL according to the Law on copyright protection (Law no. 8/1996). All content published on the Website (text, product descriptions, images, logo, colors, slogan, symbols, web graphic elements, video clips, etc.) may be used only for the purpose of informing Users and Clients of ZENYTH PHARMACEUTICALS SRL.

3.9. The photos displayed on the Website, edited or processed by ZENYTH PHARMACEUTICALS SRL, may not be taken over or used without its consent;

3.10. Any action: project, event, campaign, contest, promotion, etc., carried out by the Company through the Website will be announced, promoted, and detailed at the time it takes place, either through a Regulation or through clear and concise provisions included in the announcement of that action or subsequently, at the appropriate time.

3.11. The Seller reserves the right to change, modify, or update at any time the content of the Website www.zenyth.com, as well as the Terms and Conditions of use, without prior notice, the updated version being published on the Website.

  1. ACCESS TO THE WEBSITE

4.1. Access to the Website is made exclusively by accessing the public domain: www.zenyth.com

4.2. By accessing and using www.zenyth.com, the Client/Buyer/Visitor agrees to the Terms and Conditions presented on the Website, the Privacy Policy, and the Cookies Policy.

4.3. The Client/Buyer/Visitor benefits from limited access, for personal interest (viewing, information, placing online Orders) on the Website www.zenyth.com and does not have the right to download, partially or fully modify the Website, partially or fully reproduce the Website, copy, sell/resell or exploit the Website in any other way, for commercial purposes or in any way that contravenes the interests of ZENYTH PHARMACEUTICALS SRL.

4.4. Communication with the Seller can be carried out by telephone or through the forms (contact, etc.) available on the Website. The Seller has the freedom to manage the information received without being required to justify its actions.

4.5. All information used to describe the Products available on the Website (static/dynamic images/multimedia presentations/etc.) do not represent a contractual obligation on the part of the Seller, being used exclusively for presentation purposes.

  1. MY ACCOUNT

5.1. Any Client/Buyer/Visitor who accesses the Website www.zenyth.com, is over 16 years of age and meets the legal conditions for purchasing products, etc., can create an Account.

5.2. By creating an Account, the Client/Buyer can place an Order much more quickly, as all their data are already entered. In addition, Clients/Buyers who have created Accounts, by subscribing to the Newsletter, can benefit from certain offers and promotional prices for products and other advantages communicated in writing by ZENYTH PHARMACEUTICALS SRL.

5.3. When creating an Account, each Client/Buyer agrees to these Terms and Conditions and acknowledges the Personal Data Processing Policy (Privacy Policy) and the Cookies Policy, being responsible for the accuracy of the information provided and for updating it.

5.4. To create an Account, you must go through the following steps:

  • Click on the “My Account”/the specific icon at the top right, enter a valid email address and then other personal data (first name, last name, full home address, telephone number) together with a password and confirm this password.
  • Tick the box accepting the Privacy Policy and the Terms and Conditions and click the “Create Account” button.

In the Account you can:

  • edit account information: *profile data (first name, last name, email, phone number) or any other data provided at the initiative of the data subject, *data about placed Orders, *data about delivery addresses, *data about payment methods used (bank card, etc.), *notification settings (invoice issued, subscription/unsubscription to the Blog, posts and comments regarding products, any other messages at the initiative of the account holder);
  • change the account password;
  • change your address used by the courier service for delivering ordered products;
  • change the wish list (Wish List);

Also, in the Account you can see the Orders placed and details about other activities carried out on the Website www.zenyth.com, such as the option to subscribe/unsubscribe to the Newsletter.

  1. OBJECT OF THE CONTRACT

6.1. The object of the Contract is the sale of the products ordered on the Website by the Client/Buyer.

6.2. The transfer of ownership of the ordered product(s) takes place when the Order reaches the Client/Buyer at the place indicated by them in the Order, once the payment obligation has been fulfilled and the Client/Buyer signs the document provided by the courier company.

6.3. The Seller will include in the parcel sent to the Client/Buyer the necessary documents attesting the purchase of the products by the Client/Buyer.

  1. PRODUCTS AND ORDERS

7.1. Products are available within the limits of stock. Adding a product to the cart does not guarantee its availability.

7.2. The Order is finalized by completing the purchase steps and confirming by email.

7.3. The Seller will contact the Buyer within a maximum of 24 working hours to confirm the Order.

7.4. The Order becomes binding at the time the shipping confirmation email is sent.

7.5. By finalizing the Order, the Client/Buyer agrees that all data provided by them, necessary for the purchase process, are correct, complete, and true at the time of placing the Order.

7.6. By finalizing the Order, the Client/Buyer agrees that the Seller may contact them by any means available/accepted by the Seller, whenever it is necessary to contact the Client/Buyer.

7.8. Order cancellation: In the following cases, the Seller may unilaterally cancel an Order, without either party being able to claim damages from the other:

  • the data provided by the Client/Buyer are incorrect or incomplete;
  • the transaction is not accepted by the bank issuing the Client’s/Buyer’s card, in the case of online payment;
  • the transaction is not validated by the card processor agreed by the Seller, in the case of online payment;
  • the Client’s/Buyer’s activity on the Website may cause any kind of damage to the Seller;
  • in the case of a transaction considered suspicious or declared suspicious by a bank, institution, or authority;
  • in the case of other objective reasons.

The Client/Buyer may cancel an Order in the following situations:

  • when contacted by the Seller’s representative, if for certain reasons they no longer wish to receive the ordered products;

7.9. If you choose payment by card, immediately after placing the Order you will be redirected to a secure webpage to enter your card details and complete the payment.

  1. PRODUCT PRICES, INVOICING AND PAYMENTS

8.1. We reserve the right to change product prices without prior notice. The purchase price printed on the invoice will be the same as the one at the time of Order confirmation.

8.2. Our Company may also display on the Website products benefiting from promotional prices for a certain period of time. Details about these promotional campaigns will be made public by displaying them on our Website.

8.3. Prices displayed on the Website that are crossed out represent the old price of a product that is part of a promotional campaign and currently benefits from a lower promotional price.

8.4. Invoicing of purchased products is done exclusively in RON.

8.5. Tax invoices may be issued to natural persons or legal entities.

8.6. Payment for the ordered products may be made:

  • cash on delivery (COD);
  • online by bank card (Visa/MasterCard) via the EuPlatesc processor;
  • by bank transfer.

8.7. Online transactions are secured via SSL. ZENYTH PHARMACEUTICALS SRL does not store and does not have access to the Buyer’s card details.

8.8. Invoices are issued electronically and sent to the email address indicated by the Client.

  1. DELIVERY OF PRODUCTS

9.1. Delivery is carried out through partner courier companies (Fan Courier, Sameday, GLS, etc.).

9.2. The estimated delivery time is 1–3 working days from Order confirmation.

9.3. Delivery is free for Orders over 120 lei; below this threshold, the standard cost is 12 lei/Order.

  1. PRODUCT WARRANTY

10.1. Products benefit from the legal guarantee of conformity provided by Law no. 449/2003.
10.2. Complaints regarding non-conformities shall be sent to support@zenyth.com within 14 days from receipt of the parcel. For more details, please see the sections Suggestions and Complaints and Product Returns.

10.3. In case of non-conformity, the product may be replaced or refunded according to the Buyer’s option.

  1. PRODUCT RETURNS

11.1. According to GEO no. 34/2014, the Buyer has the right to withdraw from the Contract, without giving any reason, within 14 calendar days from receiving the products.
11.2. Products must be returned in the same condition in which you received them: in the original container, sealed and with the label undamaged. The refund of the product value is made only for products purchased via online Order on www.zenyth.com or by phone at the number +40 21 3 000 000.

11.3. To exercise your right to return products, you must inform us of your decision by means of an unequivocal statement, such as a letter sent by post, email, a phone call, or by using the return form available on the Website. Using this form is not mandatory. Therefore, you may notify us of your intention by any of the following means:

  • Online form: Complete the form available on the Website. If you use this option, we will send you, without delay and on a durable medium (e.g., email), confirmation of receipt of the return request and we will contact you to establish the details.
  • Email: Send an email to support@zenyth.com, requesting the return of a product/an Order, and we will contact you to initiate the return procedure.
  • Telephone: Call Zenyth call center at +40 21 3 000 000 and request the initiation of the return procedure.
  • Post: Send a letter with your request to Zenyth Pharmaceuticals, Bd. Nerva Traian no. 3, 1st floor, office 5-7, District 3, Bucharest.

11.4. To meet the return deadline, it is sufficient to send your request before the expiry of the 14-day period, by one of the means mentioned above. If you request a return, we will reimburse the value of the products no later than 14 days from the date we are informed of your decision. Reimbursement may be delayed until the date we receive the products back or until you provide proof that you have sent the products back, whichever is earlier. Regardless of how you notify us of the product return, the value of the products will be refunded by one of the following methods:

  • Refund to the account from which the payment was made (for Orders paid online by card).
  • Refund to the account indicated by the Client or by postal order for Orders paid by bank transfer (OP) or cash on delivery.

11.5. REFUND OF ORDERS PAID BY CARD, but canceled before shipping: If you have placed an online Order and paid by card, but changed your mind and canceled it from your Client account before it was shipped to you, we will refund the value of the products no later than 14 days from the cancellation date. In any case, you will not be charged any fees as a result of such a refund. Please send the products for return to the following address: Zenyth Pharmaceuticals SRL Warehouse, Pantelimon City, Grădinarilor Street 1A, Ilfov County 077145. Send the products without undue delay and, in any event, no later than 14 days from the date you informed us of the return. The deadline is met if the products are sent back before the expiry of the 14-day period. In case of return, you will have to bear the transport fee, in the amount of 12 lei*. *The transport fee of 12 lei applies to the return of products through the same courier company that delivered your Order and only if you request us to send a courier to collect the product(s) you wish to return. You are exempt from paying return costs within 14 days in the case of unsolicited products, damaged products (due to transport), etc.

  1. USER REVIEWS

12.1. All Clients/Buyers who access the Website may express their opinions regarding the products sold on our Website.

12.2. The information/comments submitted by them, whether positive or negative, must strictly refer to the characteristics of the products and will be published on the Website after prior approval by our Company’s representatives.

Thus, each Client/Buyer/Visitor who wishes to express their opinion about certain products must comply with the following:

  • refer only in Romanian to the characteristics of the product, avoiding information about price or certain promotional offers, or information about the Order process carried out on the Website;
  • use appropriate language, which is not offensive and does not use terms that may insult or affect other Clients/Buyers;
  • not publish comments on the Website containing illegal, obscene, threatening, defamatory content, content that infringes intellectual property rights or contains viruses, texts representing certain forms of mass advertising or any other form of spam;
  • not include information or details about other commercial websites carrying out the same commercial activity, or mention comparative prices for products on the Website.

12.3. By posting information/comments on the Website, Clients/Buyers/Visitors grant the Seller a non-exclusive, unlimited, free, and transferable right to use, reproduce, modify, adapt, publish, as well as the right to further distribute this data for the explicit or implicit marketing interest of our Company.

  1. CONFIDENTIALITY AND DATA PROTECTION

13.1. ZENYTH PHARMACEUTICALS SRL is a personal data Controller and will maintain the confidentiality of the data you provide: first name, last name, email address, phone number, delivery address, company name, as applicable. The Seller will also ensure the security of the data provided and will take technical and organizational measures for effective management of such data, strictly for the purposes stated in this Contract.

13.2. The collected data are used exclusively for Order processing and commercial communication.

13.3. For more details regarding the processing of personal data and the rights you have, please refer to the Privacy Policy and Cookies Policy.

  1. LIMITATION OF LIABILITY

14.1. The Company does not guarantee the absence of operational errors on the Website and cannot be held liable for damages resulting from improper use of the Website.

14.2. The products marketed are food supplements and do not replace a varied diet. The information published is for informational purposes only and does not substitute medical recommendations.

14.3. By creating and using the Account, the Client/Buyer assumes responsibility for complying with these provisions, for maintaining the confidentiality of the Account data (username and password), and for managing access to the Account, and, to the extent permitted by applicable law, is responsible for the activity carried out through their Account.

14.4. By creating an Account and/or using the Content and/or placing Orders, the Client/Buyer expressly and unequivocally accepts the Website Terms and Conditions in their latest updated version communicated within the Website, in force at the date of Account creation and/or use of the Content and/or at the date of placing the Order.

14.5. The Seller reserves the right to periodically update and modify the Website Terms and Conditions in order to reflect any changes in the way and conditions of operation of the Website or any changes in legal requirements. The document is binding on the Client/Buyer from the moment it is displayed on the Website. In the event of such changes, we will display on the Website the modified version of the document; therefore, please periodically check the content of this document.

14.6. Clients/Buyers assume full responsibility in the event of disclosure of personal data to third parties; our Company cannot be held liable if a Client/Buyer is prejudiced in any way by a third party who claims to be a representative of the Seller or to represent its interests.

14.7. The following actions with respect to the Website, its content, or ZENYTH PHARMACEUTICALS SRL shall be considered attempted fraud or fraud:

  • accessing any type of data belonging to a Client/Buyer by using an Account or by any other method;
  • altering or modifying the content of the Website or any correspondence sent by any means of communication by ZENYTH PHARMACEUTICALS SRL to a Client/Buyer;
  • affecting the performance of the server on which the Website zenyth.com runs;
  • accessing or disclosing to any third party who does not have the necessary legal authority any content sent by ZENYTH PHARMACEUTICALS SRL to a Client/Buyer when that Client/Buyer is not the legitimate recipient of such content;
  • In any of the situations above, ZENYTH PHARMACEUTICALS SRL reserves the right to contact the competent authorities. Fraud and attempted fraud are punishable under applicable criminal law, and the injured parties may seek compensation in court for moral or pecuniary damages, as applicable.
  • Furthermore, in the case of suspicious or declared suspicious transactions, at the request of any public authority, authorized institution, or partner bank, the Seller has the obligation – and the Client/Buyer gives their consent – to communicate personal data.
  1. INTELLECTUAL PROPERTY RIGHTS

15.1. All graphic elements, trade names, trademarks, texts, and images published on www.zenyth.com are the exclusive property of ZENYTH PHARMACEUTICALS SRL and are protected by law.

  1. DISPUTES

16.1. This Contract is governed by Romanian law. Any disputes between the Seller and Clients/Buyers shall be resolved amicably or, if this is not possible, by the competent courts as provided by civil legislation.
